Acceptance
By creating a rekody Pro account, downloading and running the Pro desktop app, or otherwise using our paid services, you agree to these Terms of Service. If you don't agree, don't use the paid service.
You agree to these terms on behalf of yourself or, if you're using rekody for a company or other legal entity, on behalf of that entity. If you're agreeing on behalf of an entity, you represent that you have authority to bind that entity.
You must be at least 13 years old to use rekody. If you're between 13 and the age of majority in your jurisdiction, a parent or guardian must agree on your behalf.
The products these terms cover
rekody ships as two products, and your obligations differ:
- rekody — the open-source CLI published at github.com/rekody/rekody and distributed via Homebrew,
cargo, and release tarballs. Governed by the MIT License, not by these terms. - rekody Pro — the paid desktop app, cloud proxy, account system, and anything else we charge for. Governed by these terms.
References to "the service" below mean rekody Pro unless we say otherwise.
The open-source CLI
The open-source rekody CLI is licensed under MIT. You can use it, modify it, redistribute it, embed it in other products — commercial or otherwise — subject only to preserving the copyright notice. These terms do not restrict your MIT-licensed rights.
The one line we'll draw: you may not use the rekody name, logo, or "rekody" trademark on a product you built from a fork, in a way that would make users think your product is official rekody software. Call your fork whatever you want; just don't imply we published it.
Accounts
Pro requires a rekody account. You're responsible for:
- Keeping your login credentials secret and using a strong, unique password.
- Enabling two-factor authentication (we recommend it for all accounts).
- Activity under your account, whether or not you authorized it.
- Notifying us promptly if you suspect your account has been compromised.
One account, one person. You can activate Pro on multiple devices you own, but sharing credentials with other people violates these terms and your license.
Plans and billing
Current plans, prices, and included usage are listed at rekody.com/pricing. Plans are billed monthly or annually in advance, in US dollars, through our payment processor.
Your subscription renews automatically at the end of each billing period until you cancel. You can cancel at any time from your account settings, and you'll keep access through the end of the period you've paid for.
Taxes (VAT, GST, US state sales taxes, etc.) may be added at checkout depending on your billing country.
Usage overages
Pro plans include a monthly usage allowance (audio minutes transcribed through our cloud proxy). If you exceed your allowance, we will — depending on your plan — (a) fall back to a lower-cost engine for the remainder of the month, (b) ask you to upgrade, or (c) rate-limit cloud-proxy requests until the next billing cycle. Exact behavior is shown in your account and at /pricing.
Refunds
Within 14 days of your first paid subscription, you can request a full refund, no questions asked — email support@rekody.com. After that, we don't offer refunds for partial months or annual plans, except where required by law. If rekody is broken for you and we can't fix it, we'll find a fair outcome — email us.
Price changes
We may change prices for future billing periods. We'll give you at least 30 days' notice by email before any price change affects you. If you don't want to pay the new price, you can cancel before it takes effect.
Trials
We offer a 14-day free trial of Pro. No card required to start. During the trial, you have full access to paid features; when the trial ends, your account downgrades to the free tier unless you have entered payment details and a subscription has started.
We may limit trials to one per person or household. If we detect patterns that look like trial abuse (dozens of accounts from the same machine, synthesized email addresses, etc.), we may shorten or terminate trials without notice.
License to use Pro
Subject to these terms and your paid subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the rekody Pro desktop app on devices you own or control for your personal or internal business use.
You may not:
- Resell, rent, lease, or sublicense access to Pro.
- Reverse-engineer, decompile, or disassemble the Pro desktop app except to the extent such restriction is prohibited by applicable law.
- Circumvent the license-verification mechanism or use Pro without a valid subscription.
- Use Pro to build a competing dictation service or to train AI models on transcripts generated through our cloud proxy.
If your subscription ends, your license to the Pro app ends. The Pro app will either refuse to run without a valid subscription or will gracefully degrade to free-tier behavior, depending on the version.
Acceptable use
You agree not to use rekody to:
- Dictate or process content you don't have the right to record or transcribe — for example, recording a conversation in a jurisdiction that requires all-party consent without having consent.
- Violate anyone's privacy, intellectual property, or other rights.
- Generate, transcribe, or process content that is illegal, that sexually exploits minors, or that incites violence against real people.
- Attempt to gain unauthorized access to our infrastructure, other users' accounts, or any data you aren't entitled to.
- Send us malware, run denial-of-service attacks, or probe our systems for vulnerabilities outside of our disclosure policy.
- Use rekody to generate high-volume synthesized traffic intended to circumvent your allowance.
We reserve the right to suspend accounts that violate this section, immediately if necessary, while we investigate.
Third-party providers
Where Pro supports configuring a third-party speech-to-text or LLM provider directly, you are solely responsible for your relationship with that provider — including fees, quotas, data-handling agreements, and compliance with their terms. We are not responsible for outages, errors, or data handling by providers you configure yourself.
Your content
You own everything you dictate. We don't claim any ownership of your audio or transcripts, and — as detailed in our privacy policy — we don't store them on our servers.
You grant us a narrow, purpose-limited license to process your audio and transcripts solely to provide the service (i.e. forward them to the provider you've selected and return the result to you). This license ends when the request ends.
We do not use your content to train AI models. We do not share your content except with the AI provider you've chosen for that request.
Feedback
If you send us feedback, feature requests, or bug reports, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve rekody. We won't identify you by name without permission.
Updates
Pro updates itself using a signed-update mechanism. We reserve the right to ship updates that fix bugs, close security holes, add features, change features, or remove features. Where an update materially changes how the product works in ways that affect your use, we'll announce it by email and on the changelog before shipping.
You may disable auto-update, but older versions may lose access to cloud features (especially when we rotate keys or tighten security requirements).
Availability
We aim for high availability on the Pro cloud services, but we don't promise a specific uptime percentage. Planned maintenance, provider outages, and unplanned incidents happen. We will post incident details on our status page or blog and follow up with affected users where appropriate.
The open-source CLI runs locally and keeps working even if our cloud services are down, as long as you aren't depending on a provider that requires our proxy.
Termination
You can cancel your subscription at any time from your account settings or by emailing us.
We may suspend or terminate your account, with notice where practical, if:
- You breach these terms, especially the acceptable-use section above.
- We are legally required to.
- We reasonably believe continued service to your account would expose us, other users, or third parties to harm.
On termination: your license to the Pro app ends, we close your account, and — subject to legal retention requirements — we purge your records consistent with our retention schedule.
Warranty disclaimer
We provide rekody "as is," without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
Without limiting the foregoing: we don't warrant that the service will be uninterrupted, error-free, or perfectly accurate. Speech-to-text is probabilistic. Review anything before relying on it in a legal, medical, financial, or safety-critical context.
Limitation of liability
To the fullest extent permitted by law:
- In no event will rekody, its owners, or its agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to these terms or the service, whether in contract, tort, or otherwise, and whether or not we were advised of the possibility of such damages.
- Our total aggregate liability for all claims relating to these terms or the service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
Some jurisdictions do not allow exclusions or limitations of certain damages, so the above may not apply to you in full. Nothing in these terms limits liability for fraud, gross negligence, willful misconduct, or anything else that cannot be excluded as a matter of law.
Indemnification
You agree to defend, indemnify, and hold harmless rekody and its agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the service, your content, your violation of these terms, or your violation of any law or third-party right.
Governing law and disputes
These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and rekody agree to bring any dispute exclusively in the state or federal courts located in California, and both parties consent to personal jurisdiction there.
You and rekody agree to try to resolve any dispute informally first by emailing support@rekody.com. If we can't resolve it in 60 days, either party may proceed to court.
If you're a consumer in the EU, UK, or another jurisdiction where mandatory local law gives you broader rights than the above, that local law applies to the extent it cannot be waived.
Changes to these terms
We may update these terms from time to time. If we make material changes, we'll update the "Last updated" date at the top and notify active subscribers by email at least 30 days before the change takes effect. Continuing to use the service after the effective date means you accept the updated terms.
